End User License Agreement

This agreement covers the QuickBooks Health Check, a free tool offered by Your Business Counts, Inc. ("we," "us," "our") that reviews a QuickBooks Online company and returns a plain-language summary of what it found. By using the tool, you agree to the terms below. If you do not agree, please do not connect a QuickBooks company.

This agreement applies only to the QuickBooks Health Check. General use of this website is covered by our Terms of Use, and the handling of information you provide is described in our Privacy Policy.

Permission to use the tool

We grant you a personal, non-exclusive, non-transferable, revocable permission to use the QuickBooks Health Check for the purpose of evaluating your own books. You may not resell it, present its results as your own product, attempt to extract or reverse-engineer the underlying checks, or use automated means to run it repeatedly.

You must be authorized to connect the company

You may only connect a QuickBooks Online company that you own or that you have permission to access on the owner's behalf. If you are connecting books belonging to someone else — an employer, a client, or a business partner — you are confirming that you have their authority to do so.

What the tool reads

When you connect, the tool reads three things: your Balance Sheet, your Profit & Loss for the fiscal year to date, and whether a closing date has been set. It never creates, edits, or deletes anything in your QuickBooks. The connection is used once and closed immediately afterward, so we do not hold a standing link to your account.

Intuit's permission screen describes a broader level of access than the tool actually uses, because Intuit does not offer a narrower read-only option we could request instead. What we read is limited to the three items above.

This is not accounting or tax advice

The health check is an automated screen, not a professional engagement. It does not constitute accounting, bookkeeping, tax, or legal advice, and it is not a substitute for a review by a qualified professional. Using it does not make you a client of our firm and does not create any professional relationship. That relationship begins only once we have confirmed an engagement with you directly.

Limits of an automated review

The tool applies fixed thresholds to a limited set of data, which means it can be wrong in both directions. It may flag items that are entirely appropriate for your business — accounts that are normally negative, such as accumulated depreciation, are a common example. It may also stay silent on problems it was never designed to look for. A result of any kind is a starting point for a conversation, not a verdict on your books.

Provided as is

The tool is provided free of charge, as is and as available, without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the tool will be available at any given time, that it will run without error, or that its results will be complete or correct.

Limitation of liability

To the fullest extent permitted by law, Your Business Counts, Inc. and its staff will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business, arising out of your use of or inability to use the health check — including any decision made in reliance on its results. Because the tool is provided at no cost, our total liability for any claim relating to it is limited to one hundred dollars ($100).

Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.

Availability and changes

We may change, suspend, or withdraw the health check at any time, and we may update this agreement as the tool changes. Material changes will be reflected in the "last updated" date above. Continuing to use the tool after a change means you accept the revised terms.

Relationship to Intuit

QuickBooks and Intuit are trademarks of Intuit Inc. We are not affiliated with, endorsed by, or sponsored by Intuit. Your use of QuickBooks Online is governed by your own agreement with Intuit, and this agreement does not modify it. You can disconnect our access at any time from within your Intuit account settings, though the tool already closes its connection as soon as a check finishes.

Governing law

This agreement is governed by the laws of the State of Oregon.
